Agreement to Terms

By accessing or using ThreadPilled ("Service", "Platform", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

Description of Service

ThreadPilled is a visual knowledge management platform that enables users to create interactive diagrams with real-time collaboration, AI-powered generation, and synchronization across devices.

User Accounts

Account Creation

To use certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Account Termination

We reserve the right to terminate or suspend your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate or infringe upon the rights of others, including intellectual property rights
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use automated systems to access the Service in a manner that sends more requests than a human can reasonably produce

Content Ownership and Rights

Your Content

You retain all rights to the content you create, upload, or share through the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display Your Content solely for the purpose of providing and improving the Service.

Our Content

The Service and its original content (excluding Your Content), features, and functionality are owned by ThreadPilled and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Content Responsibility

You are solely responsible for Your Content and the consequences of posting or publishing it. We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any content posted through the Service.

Beta Service Disclaimer

ThreadPilled is currently in early beta. The Service is provided on an "as-is" and "as-available" basis. We make no warranties or representations about the accuracy, reliability, completeness, or timeliness of the Service. Features may be added, modified, or removed without notice.

Subscription and Payment

Free and Paid Plans

We offer both free and paid subscription plans. The features available to you depend on your subscription level. We reserve the right to modify our pricing and plans at any time.

Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method for the applicable subscription fees.

Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. Refunds are handled on a case-by-case basis.

API and Embed Usage

If you use our API or embed features, you agree to comply with our API usage guidelines and rate limits. We reserve the right to throttle or block API access that we deem excessive or abusive.

Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by ThreadPilled. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. We make no warranties about the accuracy, reliability, or completeness of any content available through the Service.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THREADPILLED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Indemnification

You agree to indemnify, defend, and hold harmless ThreadPilled and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

Data Backup

While we implement backup procedures, you are responsible for maintaining your own backups of Your Content. We recommend regularly exporting your diagrams using our export features.

Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ThreadPilled is registered, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and ThreadPilled regarding the Service and supersede all prior agreements and understandings, whether written or oral.
